Verde AgriTech Plc (NPK) announced that a hearing in the UK Court was held to consider whether to sanction the scheme of arrangement at short notice.

Under the arrangement, the new Singaporean company, Verde AgriTech Ltd, will become the holding company of the old Verde.

The last day of trading, dealings in and registration of transfers of shares in old Verde will be Friday, July 29, 2022. Trading shares in New Verde on the TSX is expected to start on Tuesday, August 2.

The trading symbols will stay the same, and the new Verde shares will trade on the TSX and the OTCQB under NPK and AMHPF.

Once the scheme becomes effective, share certificates in respect of old Verde shares will cease to be valid and old Verde shares held in uncertificated form will be cancelled.

The new Verde shares will be issued following implementation of the scheme to shareholders of old Verde on the register immediately following the scheme record time.

The new Verde shares will be issued in registered form and will be capable of being held in both certificated and uncertificated form.

Verde is an agricultural technology company that produces potash fertilizers. Its main purpose is to improve the health of all people and the planet.

Verde is a fully integrated company that mines and processes its primary feedstock from its 100 per cent owned mineral properties, then sells and distributes the product.

Verde AgriTech Plc (NPK) is up under 11 per cent, trading at C$8.81 at 12:21 pm EST.
