Mobix Labs (NASDAQ:MOBX) has signed a definitive agreement to acquire Vision Aerial, Inc., a Montana-based designer and manufacturer of American-built, National Defense Authorization Act (NDAA)-compliant unmanned aerial systems, advancing the company’s push into the growing markets for secure drones, autonomous systems, and aerial intelligence.
The agreement follows a previously announced letter of intent and marks a significant step in Mobix Labs’ broader strategy to expand its presence in national security, critical infrastructure protection, defence technology, and advanced sensing applications.
Under the terms of the transaction, Mobix Labs plans to acquire Vision Aerial for approximately US$15 million, with consideration consisting of a combination of cash and Mobix Labs common stock. The deal is expected to close this quarter, pending conditions, including shareholder approval.

Expansion into drone technologies

“Drones are becoming mission-critical systems for protecting infrastructure, improving safety, monitoring assets and supporting national-security priorities,” Mobix Labs’ CEO, Phil Sansone explained in a media statement. “By combining Vision Aerial’s drone platforms with Mobix Labs’ RF, sensing, communications and defence-electronics capabilities, we believe Mobix Labs can build a powerful platform for long-term growth in global aerial intelligence markets.”
“Joining forces with Mobix Labs gives us the resources to move faster and go further — without changing what made this company so valuable,” Vision Aerial’s founder and chief technology officer, Shane Beams, added in a separate news release on the company’s website, noting that operations will remain in Montana.
Vision Aerial’s market position
Founded in 2013, Vision Aerial designs and manufactures drone systems in the United States for both government and commercial customers. Its end users include branches of the U.S. military, government agencies, utilities, energy operators, and research institutions.
The company’s drone platforms are designed for demanding operating environments and support a range of payloads and sensors, including:

The company believes drones, sensors, communications technologies, and data analytics are increasingly being integrated into platforms that provide real-time situational awareness across infrastructure, industrial facilities, and operational environments.
