Engineering and professional services firm WSP Global (TSX:WSP) will acquire GCM Corpo Inc., a Canadian engineering consulting and specialist services firm serving the energy and industrial sectors, in a move that will strengthen WSP’s presence across Canada and expand its capabilities in several high-growth markets.

GCM Corpo employs approximately 600 professionals and maintains operations across Québec, Western Canada and Atlantic Canada. The company provides engineering, consulting and specialized services to clients in a range of industries, including energy, industrial, mining and metals.

The Montreal-based engineering company said this proposed acquisition aligns with its2025-2027 Global Strategic Action Plan and is expected to enhance the company’s core engineering consulting business while broadening its reach within the energy and industrial sectors. The transaction will also provide WSP with greater access to original equipment manufacturers and deepen relationships with existing clients across key industrial markets.

Under the agreement, WSP is expected to bolster its expertise in several technical disciplines, including process engineering, industrial digitalization, operational technology cybersecurity, project and construction management, procurement, detailed engineering and environmental services. The company said the addition of GCM Corpo’s specialized workforce will further strengthen its ability to support clients as they advance complex industrial, energy and infrastructure projects.

“GCM Corpo is highly complementary to WSP and a strong strategic fit for our business. Canada’s energy and industrial sectors are evolving rapidly, driving demand for the scale, technology and expertise needed to support growth,” WSP’s president and chief executive officer, Alexandre L’Heureux, said in a news release. “Welcoming GCM Corpo will enhance our position across the energy and industrial value chain and expand our ability to partner with clients on some of the country’s most important and complex projects.”

The acquisition comes as demand continues to grow for engineering and consulting services tied to energy transition initiatives, industrial modernization and critical resource development. By integrating GCM Corpo’s capabilities, WSP aims to enhance its service offering and position itself for continued growth in these strategic sectors.

As part of the transaction, a portion of the purchase price will be paid through the issuance of WSP common shares to the sellers, including Fonds de solidarité FTQ, GCM Corpo’s largest shareholder. WSP has received conditional approval from the Toronto Stock Exchange for the common shares that will be issued as consideration in connection with the deal.

The transaction remains subject to customary closing conditions and is expected to be completed in the fourth quarter of 2026.

Once finalized, the acquisition is expected to further strengthen WSP’s Canadian operations by expanding its technical expertise, geographic reach and client base across some of the country’s most important industrial and energy markets.
