Special Project Delivery (SPD), a US infrastructure company focused on water, energy, critical minerals and rare earth elements (REEs), signed a definitive merger agreement with Winner Water Services, a US specialist in the extraction of alumina, scandium and REEs from coal combustion residuals.

The agreement, signed on September 30, 2026, will allow Winner Water to join the National Security Matters (NSM) initiative spearheaded by Mobix Labs (NASDAQ:MOBX), a technology provider for the aerospace, defense and communications industries.

The news follows SPD’s own merger agreement with Mobix to grow the NSM initiative, whose goal is to advance the systems, resources and infrastructure at the heart of US national security.

Over the past decade, Winner Water and its research partners have received US$53 million in funding from the Department of Energy and the Department of Defense, helping the company to begin construction of its REE extraction demonstration plant in August 2026 at the National Carbon Capture Center in Wilsonville, Alabama.

According to Monday’s news release, Winner Water’s proprietary and permit-independent metallurgical recovery process, combined with its readily accessible feed material, grant it a first-mover advantage over any other domestic source of REEs.

The merger is slated to close in connection with SPD and Mobix’s business combination, contingent on Winner and Mobix shareholder approvals.
