Centurion first announced on August 24, 2026 that it had executed a letter of intent option agreement for the proposed acquisition. It has since submitted documents to the TSXV because the exchange is viewing the proposed transaction as a undamental acquisition, including a National Instrument 43-101 (NI 43-101) technical report.

Centurion said it is working to finalize a definitive agreement and will provide further updates as they become available.

Brothers Gold Project details cited by Centurion

Centurion described the Brothers Project as being about 15 kilometres from the former Newmont Esperance deposit and about 40 kilometres south of Newmonts Merian Mine. The company said the project has a historical exploration database that includes rock-chip and soil sampling, airborne magnetics, LiDAR, trenching, and diamond drilling.

Centurion also summarized historical drilling at the project, including about 3,000 metres of drilling targeting one gold-mineralized shear zone. The release listed selected intercepts of 10 m @ 1.8 g/t Au, 6 m @ 4.6 g/t Au, 8 m @ 2.4 g/t Au, and 1 m @ 20.5 g/t Au.

The technical content of the release was reviewed and approved by Dr. Dennis LaPoint, P.Geo., identified as a Qualified Person under NI 43-101. The release also noted that the Qualified Person and the company have not completed sufficient work to verify historical information on neighbouring properties.

Centurion said completing the proposed transaction remains subject to conditions including satisfactory due diligence, execution of a definitive binding option agreement, and TSXV acceptance.

Centurion describes itself as a Canadian-based company focused on the exploration and development of precious metal assets in the Americas.
