Elton Resources said the gross proceeds will be used to incur Canadian exploration expenses that qualify as flow-through critical mineral mining expenditures under Canadas Income Tax Act. The company said it expects to incur the qualifying expenditures on or before December 31, 2027, and to renounce them to the initial purchasers with an effective date no later than December 31, 2026, in an amount not less than the gross proceeds raised.

Securities issued under the offering are subject to a hold period of four months and one day from the date of issuance, ending March 1, 2027, under applicable Canadian securities laws. The financing remains subject to final approval of the TSX Venture Exchange.

In connection with the offering, Elton Resources paid $208,300.33 in cash finders fees and issued 946,820 non-transferable finders warrants. Each finders warrant is exercisable for three years at $0.20 per share.

Elton Resources describes itself as a mining exploration company focused on exploration and development of the Darnley Bay project in the Northwest Territories, Canada.
