Power Leaves (CSE:NASA), a manufacturer of decocainized coca leaf derivatives for the food and beverage market, has completed its reverse takeover of Atmofizer Technologies (CSE:ATMO), setting the company up for an imminent listing on the Canadian Securities Exchange.

Power Leaves holds an exclusive licensing agreement with the Nasa Indigenous Community of the Indigenous Reserve of Calderas in Colombia and benefits from manufacturing, INVIMA-registered R&D and FDA-registered packaging facilities in the Neiva region of the country, granting the company a strong position to compete with what it describes as Coca-Cola’s decades-long monopoly on the coca leaf.

The company will have 211.12 million shares issued and outstanding (224.08 million fully diluted), as well as US$3.02 million on its balance sheet following the completion of a concurrent capital raise, which will help to procure equipment, engage in marketing and advance R&D initiatives.

The listing, conditionally approved by the exchange, is expected to take place by September 9th under the ticker symbol “NASA” with a brand new board and management team.

Pat McCutcheon, a co-founder of MediPharm Labs (TSX:LABS), will serve as Chair and Chief Executive Officer, after having grown the cannabis extraction company into one of the largest in the world.

“We now have the capital to execute,” McCutcheon said in Monday’s news release. “For the past several years, the constraint on this business hasn’t been demand; it’s been capacity. We have a commercial pipeline with flavour houses and consumer packaged goods companies that has been waiting on our ability to produce at volume and complete the certifications and quality audits those customers require. This financing goes directly into manufacturing equipment, quality systems and the processes that let us convert that pipeline into revenue.”
