1844 Resources (EFF) has announced its intention to complete a non-brokered private placement for gross proceeds of up to $325,000.

The company will issue up to 5,000,000 units at a price of $0.065 per unit. 

Each unit will consist of one common share and one-half of one non-transferable share purchase warrant. Each whole warrant will entitle the holder to purchase one additional share at an exercise price of $0.075 for a period of 18 months from the closing date.

The company may complete the placement in multiple tranches. Each closing is subject to a number of conditions, including receipt of all necessary corporate and regulatory approvals.

Net proceeds from the offering will be used for administrative and other general working capital.
