Lithium Chile Inc. (TSXV:LITH) announced that the Government of Canada has advised China Union Holdings Ltd. (CUH) that it intends to conduct a formal review of CUH’s previously announced plan to acquire all of the outstanding shares of Argentum Lithium S.A., the company that holds Lithium Chile’s flagship Arizaro lithium project in Argentina.

According to Lithium Chile, the notice was issued through Canada’s Innovation, Science and Economic Development Ministry under Section 25 of the Investment Canada Act, triggering a formal review process of the proposed transaction.

The company said CUH has informed Lithium Chile that it is currently reviewing the government’s order and will determine its next steps before providing further guidance on how it intends to proceed.

The proposed transaction has been a key strategic initiative for Lithium Chile in 2025. In May, shareholders voted in favour of the sale of the Arizaro project through the disposition of the company’s Argentine subsidiary, Argentum Lithium S.A., in a deal valued at US$175 million.

The Arizaro project is one of Lithium Chile’s most significant assets and is located within Argentina’s lithium-rich Salta province, part of South America’s renowned “Lithium Triangle.” The transaction was expected to provide a substantial cash infusion to the company while allowing it to pursue other exploration and development opportunities.

While the Canadian government has not disclosed specific reasons for the review, transactions involving foreign ownership of critical mineral assets have increasingly drawn regulatory scrutiny in recent years. Canada has identified critical minerals, including lithium, as strategically important resources due to their role in electric vehicle batteries and the broader energy transition.

The formal review does not necessarily indicate that the transaction will be blocked. However, it introduces additional regulatory hurdles and could affect the timing or ultimate completion of the deal. The Investment Canada Act allows the federal government to assess certain foreign investments for their potential impact on Canada’s national interests.

Lithium Chile said it will provide additional updates as information becomes available regarding CUH’s response and the ongoing review process.

The company’s shareholders had previously approved the sale on the basis that the transaction would monetize the Arizaro asset at a significant valuation, with proceeds expected to strengthen the company’s balance sheet and support future growth initiatives.

Investors will now be watching closely as CUH evaluates its options and Canadian authorities carry out their review of the proposed acquisition.
